Overview

We advise clients on the full range of corporate issues, from the beginning of their lifecycle (business formation, ownership rights, and all kinds of financing – from venture capital to securities offerings) to guidance on acquisitions and divestitures, debt and equity funding, structuring joint ventures, and reporting and compliance. We also advise clients on shareholder disputes, insurance questions, growth strategies, antitrust questions, and, when necessary, litigation.

As a midsized, regional firm, we do not believe in using armies of lawyers, but instead believe in focused, agile teams. On smaller matters, this can mean a partner teamed with a single associate. Not only is this approach much more efficient, but it also allows us to develop strong, lasting relationships, which in turn develops an in-depth knowledge of our clients’ strategies, goals, competition, and markets. This understanding guides our work and enables us to help clients anticipate opportunities – and challenges.

A full range of service

Accordingly, we also provide clients with all the resources of a multidisciplinary, full-service firm, which enables us to augment our corporate capabilities with more specialized, in-depth knowledge as and when required. For example, we frequently represent corporate trustees in a wide range of transactions, including escrow transactions, royalty trusts, and sale leasebacks. Our litigators represent major banks and corporations, and their executives, in director and officer liability litigation. We also counsel nonprofits and charitable organizations on obtaining public charity status and the tax implications of converting from a public foundation to a private charity.

Strong in securities

We have a particular capability in securities of all kinds. Our roots are in the Louisiana energy business, an especially capital-intensive industry where securities, and the funding they provide, have always been an essential part of doing business. Our securities practice includes matters relating to mergers and acquisitions, broker fiduciary and suitability issues, fiduciary and trust issues, corporate trust and indentures, private placements, FINRA regulations and requirements, and public filings.

Liskow provides a broad range of advice on securities to broker-dealers, private equity and venture capital partnerships, investment partnerships, national banks, oil and gas exploration and production companies, and registered investment advisors.

We prepare disclosure and corporate documents, handle contract and regulatory filings, interpret federal and state securities laws, and represent clients before FINRA, the SEC, and various state commissioners of securities. We also represent clients in connection with related criminal proceedings in state and federal courts.
