Shareholder Disputes & Derivative Actions

Practices

  • Commercial Litigation
  • Contract & Quasi-Contract Disputes

Our clients typically want litigation to be resolved favorably as quickly as possible. And 100% of the time, we will tell you that you’ve come to the right place.

Overview

Liskow is consistently successful in resolving litigation early on – whether the case is resolved by pre-trial motions and/or positioning the case for a favorable settlement. Our thinking is strategic from the first day: we are always focused on potential outcomes what you want to achieve, and what we need to do to get there.

In shareholder and derivative disputes, there are complex moving parts and pieces, and often many claims and defendants. To avoid unnecessary costs, we focus on the strategic issues that will lead to a resolution of the litigation on the most favorable terms possible. We are adept at dealing with disputes involving family-owned and closely-held businesses, in which emotions can run high among the parties and in which common sense and/or creative strategies can be key to resolving the dispute.

Liskow both defends and prosecutes claims involving corporate mismanagement, breach of fiduciary duty, breach of the duty of loyalty, failure to adhere to corporate formalities and other statutory requirements, fraud, fraudulent inducement, and minority shareholder oppression, as well as the application of the business judgment rule.

Access to the entire firm at your fingertips

Liskow provides clients with value that goes directly to your bottom line, yet you receive all the benefits of firms that are much larger. Shareholder and derivative suits can involve mountainous document review and document production and we have the resources to scale up to just the right size for your case at a moment’s notice. We also provide the benefits of the knowledge and experience of our corporate governance and tax law lawyers who provide invaluable guidance in shareholder disputes. At Liskow, these authorities are just down the hall and ready to lend a hand. Our collaborative culture means we help each other, because everyone in the firm wants our clients to succeed.
